Terms of Use

These Terms of Use ("Terms") govern your use of the services provided by MDM Consulting Ltd ("the Firm," "we," "us," or "our") and your access to our website www.mdm-consulting.co.uk ("Website").
By engaging our services or using our Website, you agree to be bound by these Terms.
1. Provision of Services
We agree to provide consulting services as described in a separate, specific engagement letter, proposal, or contract signed between the Firm and you (the "Client Agreement"). In the event of any conflict between these general Terms of Use and a specific Client Agreement, the terms of the Client Agreement shall prevail regarding the specific services provided.
2. Client Obligations
You agree to:
Co-operate with us in all matters relating to the services.
Provide us with all necessary information, documentation, and access to personnel as reasonably required to perform the services in a timely manner.
Ensure that all information provided to us is accurate and complete.
3. Fees and Payment
Fees for services will be detailed in the Client Agreement. Unless otherwise specified:
Invoices are typically issued monthly in arrears or upon completion of project milestones.
Payment terms are 14 days from the date of the invoice.
We reserve the right to charge interest on late payments in accordance with the UK's Late Payment of Commercial Debts (Interest) Act 1998.
4. Intellectual Property Rights
4.1. Our Intellectual Property: All intellectual property rights in our methodologies, training materials, reports, website content, and underlying software remain the property of the Firm.
4.2. Client Use of Deliverables: Upon full payment for services rendered, we grant you a non-exclusive, non-transferable license to use the final deliverables (e.g., reports, specific advice) internally for your business purposes. You may not sell, modify, or license these deliverables to third parties without our express written permission.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public information disclosed during the engagement. This obligation lasts for the duration of the engagement and for a period of 2 years after its termination, unless the information is already public knowledge, required to be disclosed by law, or was independently developed by the receiving party.
6. Limitation of Liability
6.1. We will provide our services using reasonable skill and care.
6.2. We accept no liability for any loss, damage, or expense arising from the use of information provided on our Website or general advice where a formal Client Agreement is not in place.
6.3. Our total aggregate liability to you for any single claim or series of related claims arising out of or in connection with the services provided under a Client Agreement shall be limited to the total fees paid by you for those specific services (or a specific cap defined in your Client Agreement).
6.4. We exclude liability for indirect, incidental, special, or consequential loss or damage, including loss of profit, data, or business interruption.
7. Data Protection
Both parties will comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Please refer to our separate Privacy Policy for full details on how we handle personal data.
8. Termination
Either party may terminate the services defined in a Client Agreement by providing 30 days' written notice. Upon termination, you will be liable for all fees and expenses incurred up to the date of termination.
9. Website Use
You agree to use our Website only for lawful purposes. You must not use our Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website.
10. Governing Law and Jurisdiction
These Terms of Use and any disputes or claims arising out of or in connection with them or their subject matter or formation are governed by and construed in accordance with the law of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
