Second-tier global ERP Software vendor - Commercial DD

Comprehensive performance review / “health assessment” of a second-tier ERP developer and vendor with a primary focus on the Manufacturing sector. The study overed market dynamics, competitive positioning, sectoral focus, key customers, operations, channels to market, technology roadmap, key personnel etc. The project revealed several weaknesses and points of risk. Based on the review, we formulated a range of “possible futures” for the company and hence of investment strategies for the owners and for the ecosystem partners, each with a specific risk profile. The project resulted in a successful sale of the company to a PE buyer.

Enterprise Software developer based in Benelux -Acquisition Pipeline Management and multiple CDDs

Acquisition pipeline management and commercial due diligence of a 12-strong target list, to enable growth objectives imposed by KKR following the acquisition of Exact Software (Netherlands). Target areas included Accounting, Tax, Reporting, CRM and Project Management software. Sizing and forecasting of the relevant markets, financial modelling and business cases (stand-alone value + synergies), analysis of strategic fit with Exact’s existing product line. Recommendations to the Investment Committee on the go / no-go and bid pricing decisions. Six bids submitted, four acquisitions successfully concluded and have since been incorporated into the company.
